Client Responsibilities

Clients agree to:

  • Maintain a functioning website and checkout system

  • Grant required access to advertising platforms (such as Meta Ads Manager)

  • Supply necessary creative assets or brand materials when required

Our agency is not responsible for issues caused by website errors, payment processing failures, or product fulfillment.

Advertising Accounts and Ad Spend

Clients retain full ownership and control of their advertising accounts.

All advertising spend is paid directly by the client to the advertising platform (such as Meta). Our agency does not collect, manage, or hold advertising budgets.

Service fees paid to our agency are separate from advertising spend.

Payment Terms

Any service fees agreed upon between the agency and the client must be paid according to the agreed payment schedule.

Failure to make payments may result in:

  • Suspension of services

  • Termination of service agreements

  • Removal of access to campaign management

No Guaranteed Results

Digital advertising involves many factors outside the agency’s control. While we implement proven testing and optimization strategies, specific financial results or sales outcomes cannot be guaranteed.

Campaign performance may depend on:

  • Product demand

  • Pricing and offers

  • Website conversion rate

  • Creative performance

  • Market competition

Intellectual Property

All creative materials, strategies, and campaign structures developed by the agency remain the intellectual property of the agency unless otherwise agreed.

Clients retain ownership of their brand assets including logos, product images, and brand materials.

Termination

Either the client or the agency may terminate services at any time unless otherwise stated in a written agreement.

Upon termination:

  • Campaign management will cease

  • Advertising accounts remain the property of the client

  • Outstanding payments must be settled

Limitation of Liability

Our agency will not be liable for any indirect, incidental, or consequential damages arising from the use of our services.

This includes losses related to advertising performance, platform outages, website issues, or external factors beyond our control.

Changes to Terms

We reserve the right to update or modify these Terms of Service at any time. Updates will be reflected on this page.

Continued use of our website or services after changes are made constitutes acceptance of the revised terms.
